Company formation steps

From the articles and founder documents through the trade registry, the tax number and the bank file. A registry date is not promised on this page.

The sequence

Formation is a chain. A gap in a passport, a missing apostille or an activity that needs a license stops the later steps. The order below is the working order for a company. A branch or a liaison office uses a different filing, described in the proposal, not as a shortcut around this list.

Name, articles and capital

The trade name is checked before it is used. The articles state the shareholders, the capital, the managers and the activity. Capital has to match the company type. We do not publish a universal lira figure here; the proposal uses the rule that applies to your file.

Documents from abroad

When a founder or a parent company is outside Turkey, the registry expects identity or incorporation papers that a Turkish notary and the registry can read. That usually means a sworn translation and an apostille or consular legalization. A scan is not a substitute for the set the registry asks for.

Notary, MERSIS and the trade registry

Signatures, the articles and the manager appointments pass through the notary and the central registry system (MERSIS), then the trade registry. The company exists for commercial purposes when the registry has recorded it. A draft article is not that record.

Tax number and the bank file

After the registry extract, the company obtains its tax number and the signature circular the bank will ask for. Bookkeeping starts with registration, not after the first invoice. The bank decides whether to open the account. We prepare the file; we do not promise the bank will accept it. See tax and banking.

What you still sign

You choose the activity, the shareholders and who may bind the company. We prepare and file. A target week in the request is a preference, not a registry appointment.
